SIGNITSECURE.COM TERMS OF USE AND PRIVACY POLICY

These Terms of Use (“Terms”) govern access to and use of the SignItSecure website and digital signature platform (the “Service”), operated by OREP Insurance Services, Inc. (“OREP,” “SignItSecure,” “we,” “us,” or “our”).
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Business Use Only
SignItSecure is offered solely for professional and business use. The Service is not intended for personal, household, or consumer use. By using the Service, you represent that you are acting in a professional or business capacity and that you have authority to bind yourself or the business you represent.
SignItSecure is not offered to consumers, and no consumer protections or consumer-directed warranties are intended or implied by these Terms.
2. Nature of the Service; No Legal Advice or Verification
SignItSecure provides a technical platform that allows users to upload documents and apply electronic signatures.
SignItSecure does not:
• Verify the identity of signers
• Confirm authority or capacity to sign
• Validate documents or signatures
• Determine legal sufficiency or enforceability
• Provide legal, regulatory, or compliance advice
You are solely responsible for determining whether electronic signatures are appropriate, lawful, and enforceable for your specific use case and jurisdiction.
You acknowledge that SignItSecure acts only as a passive technology provider and does not participate in, review, or control the substance of any transaction or agreement executed using the Service.
3. User Responsibilities
You are solely responsible for:
• The content, accuracy, and legality of all documents uploaded
• Ensuring compliance with applicable laws and regulations
• Confirming recipient identity and authorization
• Maintaining the confidentiality of login credentials
• All activity occurring under your account
• Proper use of electronic signatures and records
You agree not to use the Service for unlawful, deceptive, or unauthorized purposes.
You further agree that you are solely responsible for determining retention requirements, evidentiary sufficiency, and recordkeeping obligations applicable to your documents.
4. Data Ownership and Limited License
You retain ownership of all documents and data you upload to the Service.
By using the Service, you grant SignItSecure a limited, non-exclusive license to host, process, transmit, and store your data solely as necessary to provide and maintain the Service.
We do not claim ownership of your documents.
This license does not permit SignItSecure to use document content for any purpose unrelated to operation, maintenance, security, or improvement of the Service.
5. Records Custody and Retention
SignItSecure is not a records custodian. We do not guarantee document retention, availability, or long-term storage. You are solely responsible for maintaining your own copies of all documents, signatures, and records created or transmitted using the Service.
You acknowledge that deletion, loss, or unavailability of documents may occur and that SignItSecure has no obligation to retrieve, archive, or restore documents except as expressly required by law.
6. Service Availability; No Warranty
The Service is provided “AS IS” and “AS AVAILABLE.”
To the maximum extent permitted by law:
• We make no warranties, express or implied
• We do not guarantee uptime, availability, or delivery
• We disclaim all implied warranties, including merchantability and fitness for a particular purpose
Use of the Service is at your own risk.
No oral or written information provided by SignItSecure shall create any warranty not expressly stated in these Terms.
7. Security Disclaimer
We implement reasonable administrative, technical, and physical safeguards designed to protect data. However, no system is completely secure.
You acknowledge and accept the inherent risks of electronic transmission and storage of information and agree that SignItSecure is not responsible for unauthorized access beyond our reasonable control.
You agree that electronic communications, signatures, and document transmissions may be subject to interception, corruption, delay, or loss and that such risks are inherent in digital systems.
8. Limitation of Liability
To the maximum extent permitted by law:
SignItSecure and OREP shall not be liable for:
• Lost, corrupted, or inaccessible data
• Business interruption or lost profits
• Indirect, incidental, consequential, or special damages
• The enforceability or legal effect of any signature or document
Total liability, for any claim arising out of or related to the Service, shall not exceed the lesser of:
• $100, or
• The fees paid by you to SignItSecure in the twelve (12) months preceding the claim
This limitation applies regardless of the legal theory asserted.
This limitation of liability reflects an agreed allocation of risk and is an essential basis of the bargain between the parties.
9. Indemnification
You agree to defend, indemnify, and hold harmless OREP, SignItSecure, and their officers, directors, employees, and agents from any claims, damages, liabilities, costs, or expenses (including attorneys’ fees) arising from:
• Your documents or data
• Your use of the Service
• Your violation of law or these Terms
• Disputes involving signatures or recipients
These indemnification obligations survive termination of your use of the Service.
10. Suspension and Termination
We may suspend or terminate access to the Service at any time, with or without notice, for any reason.
Upon termination:
• Your right to use the Service immediately ends
• We may delete stored data in accordance with our retention practices
• Sections relating to liability, indemnification, and governing law survive
Termination shall not affect any rights or obligations accrued prior to termination.
11. No Fiduciary or Agency Relationship
Nothing in these Terms creates a partnership, agency, fiduciuciary, or professional relationship between you and SignItSecure or OREP.
12. Governing Law and Venue
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.
Any disputes shall be brought exclusively in state or federal courts located in California.
13. Changes to These Terms
We may update these Terms from time to time. Continued use of the Service after changes are posted constitutes acceptance of the revised Terms.
